Terms of Service

These terms govern our manufacturing partnership and define the scope of cooperation for OEM/ODM eyewear production services.

1. Agreement Scope & Cooperation Terms

These terms apply to all manufacturing partnerships between our company and international clients seeking OEM/ODM eyewear production services. By placing an order or requesting quotations, you agree to these terms.

Eligible Clients

  • International brands and distributors
  • Wholesale importers and trading companies
  • E-commerce sellers with business registration
  • Private label and retail chain partners

2. Order Rules & Requirements

Minimum Order Quantity

100 PCS

Per style/color combination

Payment Terms

30% + 70%

Deposit + Balance before shipment

Production Lead Time

15-25

Working days after confirmation

Delivery & Shipping Terms

  • FOB/EXW terms available from our factory location
  • Door-to-door shipping services can be arranged
  • Delivery delays due to force majeure are excluded from liability

3. Custom Order & ODM Policy

Sample Development

Sample Fee $50-150 per style
Sample Time 7-10 working days
Fee Refund Upon mass order ≥500 pcs

Mold & Tooling

Mold Fee $200-800 per style
Ownership Factory retained
Exclusive Use Available upon request

Design Modification Rights

Minor design adjustments for manufacturing optimization are permitted. Major changes require client approval. Original design concepts and technical drawings remain client's intellectual property.

4. Quality Control & After-Sales Service

Defect Rate Tolerance < 2%
Quality Warranty 6 months

Claim & Return Policy

Quality claims must be reported within 15 days of delivery with photo evidence. Manufacturing defects exceeding 2% tolerance will be replaced at no cost.

Returns due to design dissatisfaction or market changes are not accepted unless pre-agreed in writing.

5. Limitation of Liability & Dispute Resolution

Intellectual Property Protection

• Client-provided designs, logos, and trademarks remain client's exclusive property

• We guarantee confidentiality and non-disclosure of proprietary information

• Client assumes responsibility for trademark clearance and IP compliance

Liability Limitations

• Our liability is limited to the value of the specific order in question

• Force majeure events (natural disasters, government regulations) exclude liability

• Consequential damages, lost profits, or business interruption are excluded
